§1 Name and legal basisNazwa i podstawa prawna

1. The name of the Association is Ugandans Association in Poland, hereinafter referred to as the “Association”.Nazwa Stowarzyszenia brzmi: Stowarzyszenie Ugandyjczyków w Polsce, zwane dalej „Stowarzyszeniem”.
2. The Association may use its name in foreign languages.Stowarzyszenie może używać swojej nazwy w językach obcych.
3. The Association operates on the basis of the Act of 7 April 1989 — Law on Associations — and this Statute.Stowarzyszenie działa na podstawie ustawy z dnia 7 kwietnia 1989 r. — Prawo o stowarzyszeniach — oraz niniejszego Statutu.
4. The Association has legal personality.Stowarzyszenie posiada osobowość prawną.

§2 Area of activityTeren działania

1. The Association operates within the territory of the Republic of Poland.Stowarzyszenie działa na terytorium Rzeczypospolitej Polskiej.
2. In order to achieve its statutory objectives, the Association may also operate outside the territory of the Republic of Poland.Dla realizacji celów statutowych Stowarzyszenie może działać również poza granicami Rzeczypospolitej Polskiej.

§3 Registered officeSiedziba

The registered office of the Association is Warsaw.Siedzibą Stowarzyszenia jest miasto Warszawa.

§4 Objectives of the AssociationCele Stowarzyszenia

The objectives of the Association include, in particular:Celami Stowarzyszenia są w szczególności:

1. supporting citizens of Uganda residing in Poland;wspieranie obywateli Ugandy przebywających w Polsce;

§5 Methods of achieving objectivesSposoby realizacji celów

The Association pursues its objectives through:Stowarzyszenie realizuje swoje cele poprzez:

1. organising events, projects, conferences, workshops, and training sessions;organizowanie wydarzeń, projektów, konferencji, warsztatów i szkoleń;
2. cooperating with public institutions, non-governmental organisations, and domestic and international entities;współpracę z instytucjami publicznymi, organizacjami pozarządowymi oraz podmiotami krajowymi i międzynarodowymi;
3. conducting unpaid and paid public benefit activities;prowadzenie nieodpłatnej i odpłatnej działalności pożytku publicznego;
4. undertaking other activities in accordance with applicable law.podejmowanie innych działań zgodnych z obowiązującym prawem.

§6 MembersCzłonkowie

1. A member of the Association may be a natural person with full legal capacity.Członkiem Stowarzyszenia może być osoba fizyczna posiadająca pełną zdolność do czynności prawnych.
2. Legal entities may support the Association as supporting members.Osoby prawne mogą wspierać Stowarzyszenie jako członkowie wspierający.

§7 Acquisition of membershipNabycie członkostwa

Membership is acquired on the basis of a written membership declaration and a resolution of the Management Board.Członkostwo nabywa się na podstawie pisemnej deklaracji członkowskiej oraz uchwały Zarządu.

§8 Termination of membershipUstanie członkostwa

Membership in the Association shall cease as a result of:Członkostwo w Stowarzyszeniu ustaje wskutek:

1. voluntary resignation;dobrowolnej rezygnacji;
2. expulsion by resolution of the Management Board;wykluczenia uchwałą Zarządu;

§9 AuthoritiesOrgany

1. the General Meeting of Members;Walne Zebranie Członków;
2. the Management Board;Zarząd;

§10 General Meeting of MembersWalne Zebranie Członków

1. The General Meeting of Members is the supreme authority of the Association.Walne Zebranie Członków jest najwyższą władzą Stowarzyszenia.
2. Its competencies include, in particular:Do jego kompetencji należy w szczególności:
   • a) adopting amendments to the Statute;a) uchwalanie zmian Statutu;
   • b) electing and dismissing members of the Management Board and the Audit Committee;b) wybór i odwoływanie członków Zarządu oraz Komisji Rewizyjnej;
   • c) granting discharge to the Management Board;c) udzielanie absolutorium Zarządowi;
   • d) adopting resolutions on the dissolution of the Association.d) podejmowanie uchwał o rozwiązaniu Stowarzyszenia.
3. The General Meeting shall be convened by the Management Board at least once a year.Walne Zebranie zwoływane jest przez Zarząd co najmniej raz w roku.

§11 Management BoardZarząd

1. The Management Board consists of 3 to 5 members.Zarząd składa się z 3 do 5 członków.
2. The Management Board manages the activities of the Association and represents it externally.Zarząd kieruje działalnością Stowarzyszenia i reprezentuje je na zewnątrz.
3. The term of office of the Management Board is 3 years.Kadencja Zarządu trwa 3 lata.

§11a RepresentationReprezentacja

Declarations of will on behalf of the Association, including in financial matters, may be made by the President acting individually or by two members of the Management Board acting jointly, including the President.Oświadczenia woli w imieniu Stowarzyszenia, w tym w sprawach majątkowych, może składać Prezes działający samodzielnie albo dwóch członków Zarządu działających łącznie, w tym Prezes.

§12 Audit CommitteeKomisja Rewizyjna

1. The Audit Committee consists of 3 members.Komisja Rewizyjna składa się z 3 członków.
2. It is the internal control body of the Association.Jest organem kontroli wewnętrznej Stowarzyszenia.
3. The term of office of the Audit Committee is 3 years.Kadencja Komisji Rewizyjnej trwa 3 lata.

§13 AssetsMajątek

The assets of the Association consist of:Majątek Stowarzyszenia stanowią:

1. membership fees;składki członkowskie;
2. donations, inheritances, and bequests;darowizny, spadki i zapisy;
3. grants, subsidies, and funding;dotacje, subwencje i dofinansowania;
4. other lawful sources.inne źródła zgodne z prawem.

§14 ProhibitionsZakazy

It is prohibited to:Zabrania się:

1. grant loans to members or secure their obligations with the Association’s assets;udzielania pożyczek członkom lub zabezpieczania ich zobowiązań majątkiem Stowarzyszenia;
2. transfer assets to members on preferential terms compared to third parties;przekazywania majątku członkom na zasadach korzystniejszych niż wobec osób trzecich;

§15 Amendments to the StatuteZmiany Statutu

Amendments to the Statute require a resolution of the General Meeting adopted by a two-thirds majority of votes.Zmiana Statutu wymaga uchwały Walnego Zebrania podjętej większością dwóch trzecich głosów.

§16 DissolutionRozwiązanie

The dissolution of the Association requires a resolution of the General Meeting adopted by a two-thirds majority of votes.Rozwiązanie Stowarzyszenia wymaga uchwały Walnego Zebrania podjętej większością dwóch trzecich głosów.
